1. Introduction and Acceptance
These Terms and Conditions (“Terms”) govern your access to and use of the Auradeck website (including getauradeck.com and app.getauradeck.com), the Auradeck dashboard, and all related services, features, and content (collectively, the “Service”). The Service is operated by Auradeck (“Auradeck”, “we”, “us”, or “our”).
These Terms, together with our Privacy Policy (available at https://getauradeck.com/privacy), constitute a legally binding agreement between you and Auradeck. By accessing or using the Service, creating an account, or clicking “I agree” (or similar), you accept and agree to be bound by these Terms. This acceptance constitutes an electronic record under the Information Technology Act, 2000 and does not require a physical or digital signature.
If you do not agree to these Terms, you must not access or use the Service. These Terms apply to both the public-facing website and the authenticated dashboard used by therapists and other authorised users.
2. Description of the Service
Auradeck is a practice-management platform designed for psychologists, counsellors, psychotherapists and other mental-health professionals practising in India. The Service enables you to:
- Maintain client profiles, session history and encrypted clinical notes
- Schedule sessions, maintain a calendar, and (optionally) synchronise with Google Calendar
- Send intake forms, worksheets and screening tools (including PHQ-9 and GAD-7)
- Generate GST-compliant invoices and track payments (including UPI)
- Manage referrals with client consent in accordance with applicable data-protection law
The Service is currently offered in early access and may be free of charge or subject to fees that will be communicated to you in advance. Features may change, be added or removed as we develop the platform. Auradeck is a practice-management tool only and does not itself provide clinical, medical, psychological or legal advice.
3. Eligibility and User Accounts
You must be at least 18 years old and a qualified mental-health professional (or an authorised staff member of such a professional) to create an account and use the dashboard. By registering you represent and warrant that:
- All information you provide is accurate, current and complete
- You will keep your login credentials confidential and notify us promptly of any unauthorised use of your account
- You are responsible for all activity that occurs under your account
You may sign in with Google (optional). When you do so, we receive your name, email address and profile picture solely to create and identify your Auradeck account, in accordance with our Privacy Policy and the Google API Services User Data Policy (including the Limited Use requirements).
4. Your Responsibilities as a Therapist / Data Fiduciary
You acknowledge and agree that:
- You are the Data Fiduciary under the Digital Personal Data Protection Act, 2023 (“DPDP Act”) for all personal data and health-related information of your clients that you enter into or process through the Service. Auradeck acts solely as a Data Processor on your documented instructions.
- You are solely responsible for obtaining all necessary consents from your clients (including verifiable parental or guardian consent where the client is a child under 18) before entering their personal or health data into Auradeck, and for complying with the DPDP Act, the Mental Healthcare Act, 2017, the Information Technology Act, 2000, applicable professional ethical codes, and all other laws that govern your practice.
- You will maintain your own privacy notice for clients and ensure that your use of the Service is consistent with that notice and with professional standards of confidentiality under the Mental Healthcare Act, 2017.
- Clinical notes and other sensitive information remain under your control. You decide what data to enter, what to share with clients via links, and when to finalise or delete records.
- You will not use the Service to store or process data in any manner that violates applicable law or the rights of any third party.
5. Data Processing under the DPDP Act
When we process personal data of your clients on your behalf, we do so only as a Data Processor under a valid contractual arrangement (these Terms and our Privacy Policy). In particular:
- We process such data solely for the purpose of providing the Service to you and only on your documented instructions.
- We implement reasonable technical and organisational security safeguards (including encryption of clinical notes at rest with AES-256, transmission over TLS, and hosting in Mumbai, India on Vercel and Supabase, which run on Amazon Web Services) as described in our Privacy Policy.
- We will notify you without undue delay upon becoming aware of a personal data breach affecting data we process on your behalf, so that you can fulfil your own notification obligations under the DPDP Act.
- We will assist you, to a reasonable extent, in responding to Data Principal rights requests (access, correction, erasure) that relate to data we process for you.
- On termination of your account, or upon your written request, we will delete or return the personal data we process on your behalf (subject to any legal retention requirements) and will, on request, provide written confirmation of deletion.
You remain responsible as Data Fiduciary for the lawfulness of the processing instructions you give us and for obtaining all required consents. Full details of the data we collect, the processors we use, and your rights appear in our Privacy Policy.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorised access to any part of the Service, other users’ accounts, or our systems
- Interfere with or disrupt the integrity or performance of the Service
- Reverse-engineer, decompile, or otherwise attempt to extract the source code of the Service except as permitted by applicable law
- Upload or transmit any malicious code, viruses, or harmful content
- Use the Service to provide clinical care outside the professional and legal framework applicable to your practice without appropriate licences and safeguards
- Misrepresent your identity, qualifications, or affiliation
7. Intellectual Property
The Service, including its design, software, text, graphics, logos and all related intellectual property, is owned by Auradeck or its licensors and is protected by Indian and international intellectual-property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your legitimate professional practice in accordance with these Terms.
You retain all rights in the content you create or upload (client records, notes, worksheets, invoices, etc.). By using the Service you grant us a limited licence to host, process and display that content solely for the purpose of providing the Service to you.
8. Google Sign-In and Google Calendar (Optional)
Certain features of the Service rely on Google APIs. These features are entirely optional. If you choose to use them:
- Google Sign-In: We receive your name, email address and profile picture to create and identify your account.
- Google Calendar: We create calendar events (with Google Meet links where applicable) for sessions you schedule and read the times of other events so that your Auradeck calendar can show busy periods and help avoid double-booking. You may disconnect at any time from Settings or revoke access in your Google Account.
Auradeck’s use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We do not sell Google user data, use it for advertising, or use it to train AI models. Full details are set out in our Privacy Policy.
9. Fees, Early Access and Payment
During the early-access period the Service is offered free of charge and no payment card is required. We reserve the right to introduce paid plans in the future. Any such change will be communicated to you by email with reasonable advance notice (at least 14 days). Continued use after a paid plan takes effect will constitute acceptance of the applicable fees and billing terms that will be published at that time.
Invoices generated through the Service for your clients are your responsibility. Auradeck does not process client payments on your behalf beyond providing the tools (GST calculation, UPI QR links, payment tracking) that enable you to do so.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Auradeck is a practice-management tool only. It does not provide medical, psychological or legal advice. You remain solely responsible for all clinical decisions, professional judgements and the care you provide to your clients. Screening tools (PHQ-9, GAD-7, etc.) and any AI-assisted note features are aids only and must not replace your professional assessment.
We do not guarantee that the Service will meet every regulatory or professional-body requirement applicable to your practice. You are responsible for ensuring your use of the Service complies with all laws and codes that govern your profession, including the Mental Healthcare Act, 2017 and any applicable telemedicine or tele-psychology guidelines.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Auradeck and its operators, employees and agents shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages, or for any loss of profits, data, goodwill or business opportunities, arising out of or related to your use of (or inability to use) the Service, even if we have been advised of the possibility of such damages.
Subject to the carve-outs below, our total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the total fees (if any) actually paid by you to us in the twelve (12) months immediately preceding the claim, or (b) Indian Rupees Fifty Thousand (₹50,000).
Nothing in these Terms excludes or limits our liability for:
- fraud or fraudulent misrepresentation;
- wilful misconduct or gross negligence;
- death or personal injury caused by our negligence; or
- any other liability that cannot be excluded or limited under applicable Indian law (including statutory obligations under the DPDP Act or the Information Technology Act, 2000 that cannot be contracted out of).
12. Indemnification
You agree to indemnify, defend and hold harmless Auradeck and its officers, directors, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your breach of these Terms; (c) your violation of any law or the rights of any third party (including your clients); or (d) any content or data you upload or process through the Service. This indemnity does not apply to the extent the claim arises from our own fraud, wilful misconduct or gross negligence.
13. Termination
You may stop using the Service and request deletion of your account at any time by contacting us at hello@getauradeck.com. We will, within a reasonable period, assist you in exporting your practice data in a commonly used electronic format and will delete personal data we process on your behalf (subject to any legal retention obligations), providing written confirmation of deletion on request.
We may suspend or terminate your access immediately if you materially breach these Terms, if required by law, or if we discontinue the Service. We will provide notice where reasonably practicable.
Upon termination, your right to use the Service ceases. Provisions that by their nature should survive (including intellectual-property rights, disclaimers, limitation of liability, indemnification, data-processing obligations and governing law) will survive termination.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to you by email at least fourteen (14) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and may request account deletion.
15. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Subject to any mandatory consumer-protection or other non-derogable provisions of Indian law, any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in India.
Before initiating formal legal proceedings, the parties agree to attempt in good faith to resolve the dispute through informal discussions for a period of at least fifteen (15) days after one party notifies the other in writing of the dispute.
16. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Auradeck regarding the Service and supersede all prior or contemporaneous understandings.
- Severability. If any provision is held invalid or unenforceable by a competent court, the remaining provisions continue in full force and effect.
- No waiver. Failure to enforce any right or provision does not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, corporate reorganisation or sale of assets.
- Force majeure. We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour or materials.
